Our Commercial Finance practice provides counsel to lenders and borrowers in complex banking transactions including bilateral and syndicated secured and unsecured credit facilities, asset-based financing, acquisition financing, project and real estate financings, mezzanine, subordinate and bridge financings, equipment leasing and financing and letters of credit, in addition to advising on regulatory and compliance issues.

Attorneys in this group represent commercial banks, investment banks, business development companies, private equity funds and corporate borrowers to close a broad range of regulatory and commercial lending transactions ranging in size from $1M to $500M.

We have substantial experience in lending to a broad range of manufacturers, as well as other regulated or highly specialized industries: mortgage banking, healthcare, technology, hospitality, education and auto leasing.

Our commercial real estate lending attorneys represent lenders and borrowers in real estate secured transactions in Rhode Island, Massachusetts and throughout the country with assistance from our local counsel relationships on a variety of projects including multi-state portfolio fund deals, multi-family housing, construction, condominiums, shopping centers, hotels and restaurants, retail and office buildings, industrial facilities, self-storage facilities, health care and life science facilities and marinas.

We are further equipped to handle tax credit financing for projects with historic rehabilitation, low-income housing, new markets, brownfields and renewable energy incentives, as well as C-Pace financing, especially navigating the complex intercreditor, standstill and Subordination, Non-Disturbance and Attornment issues that arise from these types of deals.

Our clients call us regularly to seek out guidance on various lending issues, such as structuring new credits and restructuring problem credits, participations and intercreditor issues, environmental and insurance issues, security and perfection issues and understanding the many types of guarantees.

As a full-service firm, we have the benefit of collaborating with our colleagues in the intellectual property, tax, environmental, land use and corporate practices to assist with organizational, structuring and collateral issues that may arise.  We regularly incorporate our insolvency team to assist with structuring and documenting workout and forbearance agreements and to address potential lender liability issues, fraudulent conveyance issues and bankruptcy concerns.

Our team has prepared complete sets of form loan documentation for many of our institutional lenders, which serve as the templates for their commercial loan facilities.  We have advised on and assisted with the transition to SOFR, BSBY and other LIBOR replacement benchmarks for our clients.  We review and assist with swap and other derivatives contracts.  Our attorneys regularly serve as Rhode Island and Massachusetts local counsel to lenders and borrowers in complex multi-state loan transactions.
