Brian is thorough, resourceful, creative, and has a keen eye for detail. He is passionate about his work and enjoys getting to know his clients and their businesses. Brian concentrates his practice on transactional matters, including mergers and acquisitions and general corporate and real estate matters. He regularly acts as general outside counsel for clients, addressing their day-to-day business issues. Brian frequently represents entrepreneurs and investors with respect to formation matters, contract negotiation and drafting, and capital raising matters. Brian also offers comprehensive, practical advice to clients on matters such as choice of entity and business organization, equity and debt financing, employee incentive compensation plans (equity and non-equity), shareholder/partnership agreements, leasing, licensing, employment, tax, and exit strategies and succession planning.

  • Represented a Project-Based Section 8 cooperative in a $30 million sale to preserve affordability at the property.
  • Represented a business owner in the acquisition of a rival business and subsequently negotiated the lease of a building acquired during the transaction.
  • Advised the sellers of a family owned business with nine locations throughout Massachusetts.
  • Frequently assists in the negotiation and settlement of partnership disputes.
  • Represents early-stage technology companies with respect to capital raising matters (e.g., SAFEs, series seed, Series A) and venture capital-backed deals.
  • Advises restaurant operators on a wide variety of matters, including entity formation, licensing, lease negotiation, funding, employment matters and general business issues related to opening and operating a restaurant.
