Mr. Howell is a member of the Firm’s Corporate Practice Group. His practice includes contract negotiation, business formation, equity financing, mergers and acquisitions, employment and consulting arrangements, buy/sell arrangements and business succession, technology transfer and licensing, and commercial borrowing and lending. Mr. Howell was named a "Rising Star" in the Business/Corporate practice area by Rhode Island Super Lawyers.

Mr. Howell has organized an internal group designed to provide effective legal advice to entrepreneurs, and participates in the Firm’s GreenMatters™ Program, a firm initiative designed to advise the firm as well as clients on legal matters relating to sustainable practices.

Prior to attending law school, Mr. Howell received his Bachelors of Science and Engineering in the field of Mechanical Engineering from the University of Pennsylvania. Subsequently, he was a technical consultant at the Gillette Company in its South Boston, Massachusetts, manufacturing facility.


REPRESENTATIVE TRANSACTIONS: Mr. Howell has represented small, medium and large business enterprises in a wide range of projects. More recent representative transactions include:

  • Representation of the seller in the merger of a software company pursuant to a tax-free exchange.
  • Representation of the seller in the multi-million dollar sale of substantially all of the assets of a multi-state food distribution business.
  • Representation of the purchasers in the $25 million purchase of substantially all of the assets of a manufacturer of extruded medical polymer tubing.
  • Representation of an issuer specializing in the medical device industry in the private placement of securities.
  • Representation of multiple start-up companies specializing in bio medical products with respect to formation and obtaining debt and equity-based financing.
  • Representation of a financial institution in an issuance of securities pursuant to the Troubled Asset Relief Program.
