Mr. Nadeau, chair of the Real Estate Group, has extensive experience in representing buyers, sellers, developers and institutional clients with regard to legal issues arising from their commercial real estate interests in matters related to borrowing, development, planning and zoning.
Mr. Nadeau acts as general and special counsel to developing and mature corporations with a special expertise in companies in the logistics field. Mr. Nadeau has served for over twenty years as counsel to a major privately held logistics firm, and has national and international experience in serving similar businesses. He also negotiates, drafts documentation for, and closes commercial transactions for business clients. He represents companies and investors in private placements, mergers and acquisitions, corporate finance and venture capital. In addition, Mr. Nadeau represents commercial lenders in commercial and real estate financing and workout transactions.
REPRESENTATIVE TRANSACTIONS
- Represented municipal planning board in reviews of mixed-use projects in Rhode Island.
- Represented municipality in planning and zoning for the two largest real estate development projects in the town’s history.
- Represented buyers and sellers of real property in tax free exchanges.
- Represented manufacturer in plant expansion, including real estate acquisitions and permitting.
- Represented lenders in numerous real estate and commercial loans in Massachusetts and Rhode Island.
- Represented bank group regarding zoning issues in financing three parcels in downtown Providence.
- Represented several mezzanine lenders in structuring and documenting transactions.
- Represented logistics company in contract negotiations in China.
- Represented high-tech packaging company in contract negotiations in France.
- Represented Canadian parent corporation regarding its U.S. subsidiaries.
- Represented shareholders of several corporations in the purchase or sale of stock or corporate assets.
- Represented manufacturing companies in restructuring of operations.
