Mr. Hahn is Co-Chair of the Firm’s Corporate Law Practice and represents privately held business organizations involved in manufacturing, distribution and a variety of service industries. He has extensive experience structuring, negotiating and closing major stock and asset acquisition and sale transactions, business financing, private placements, partnerships and special purpose entities. He also advises clients concerning general contract matters, employment relationships, franchising and licensing of intellectual property. Mr. Hahn serves as general counsel to numerous businesses and their owners providing advice which integrates business ownership and succession considerations with personal planning issues, including advice regarding shareholder agreements, insurance arrangements, business valuations, deferred compensation, retirement benefits and related issues. Mr. Hahn has been recommended by his peers to the Chambers USA – America’s Leading Business Lawyers since 2005 for his ability to combine corporate and securities law with a detailed knowledge of tax.
Mr. Hahn has represented the owners of several independent power producing projects on a variety of financing, partnership, and contracting issues as well as several mortgage banking companies with licensing, compliance and loan sale and servicing agreements.
REPRESENTATIVE TRANSACTIONS
- Representation of the purchaser of 160 unit convenience store and gasoline station chain in four New England States.
- Structuring senior and subordinated debt financings in numerous transactions.
- Advising sellers in connection with stock sale of multimillion-dollar advertising specialty business.
- Advising sellers of two privately-held home heating and distribution businesses.
- Representation of clients concerning contracts and commercial transactions including leasing, licensing and regulatory compliance relating to federal and state statutes.
- Organization of SPEs and related financing transactions
Mr. Hahn is chair of the Business Organization Committee of the Rhode Island Bar Association and member of the Massachusetts Bar Association. He is admitted to practice law in Rhode Island, Massachusetts, and before the U.S District Court of Rhode Island, and the U.S. Court of Appeals 1st Circuit. He earned his J.D., cum laude, from Suffolk University Law School, where he also served as Editor of its Law Review. Mr. Hahn obtained his A.B. from Brown University. He is a member of the Mortgage Bankers Association of America, Legal Issues Committee, and Director and Secretary of the Rhode Island Mortgage Bankers Association. He is a Director of the Rhode Island Public Expenditure Council, Trustee and past President of the Brown Club of Rhode Island, and Director and Secretary of Agawam Hunt. Additionally, Mr. Hahn serves as Director and Secretary and Chair of the Nominating Committee of IN-SIGHT.
