Mr. Gallogly advises clients on strategic development matters utilizing his unique legal and governmental experience. He represents and counsels government agencies and corporate clients, including issuers, underwriters, non-profit institutions and private equity firms in various transactional matters, with focus on public and structured finance transactions. Mr. Gallogly represents financial institutions in commercial lending transactions.
REPRESENTATIVE TRANSACTIONS
- Represented the Rhode Island Economic Development Corporation in connection with the project status program, investment of small business credit initiative funds, purchasing matters, requests for access to public records, the Code of Ethics, legislation and other contractual matters.
- Represented various issuers and underwriters in public and private tax-exempt and taxable debt financings.
- Served as issuer’s counsel or program advisor in several transactions in which millions of dollars of legal fee awards payable to certain law firms were securitized.
- Served as issuer’s counsel to finance the privatization of several military housing projects located on Air Force, Army and Navy bases.
- Represented Rhode Island Housing and Mortgage Finance Corporation as general counsel, providing advice regarding the issuance of bonds to finance single and multi-family projects.
- Advised the Rhode Island Economic Development Corporation in connection with the issuance of approximately $600 million in grant anticipation bonds and motor fuel tax revenue bonds to finance major transportation construction projects in Rhode Island.
- Represented the Rhode Island State Investment Commission as general counsel in connection with its investments in private equity funds.
- Represented financial institutions in commercial lending transactions, including SBA loans, revolving lines of credit and term loans.
GOVERNMENTAL EXPERIENCE, 1991 - 1994
Director of Policy and Deputy Chief of Staff for Governor Bruce Sundlun. Responsibilities included:
- Establishment of Rhode Island Airport Corporation
- Creation of RIte Care
- Negotiation with General Assembly leadership of numerous legislative and budget initiatives
